1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Stonecourt", "we", "us", "our" — the business consulting practice operating under the name Stonecourt, located at 591 Witthayu Road, Lumphini, Bangkok 10330, Thailand.
- "Client", "you" — any person or organisation that engages Stonecourt for consulting services or uses this website.
- "Engagement" — a consulting service agreed between Stonecourt and a Client, as described in these Terms and in any written scope agreement.
- "Deliverable" — any document, reference, system, or other output produced by Stonecourt in the course of an Engagement.
- "Website" — the website operated at stonecou.club.
- "Agreement" — these Terms and Conditions, together with any written scope agreement or engagement letter.
2. Acceptance of Terms
By using our Website, submitting an enquiry, or entering into an Engagement, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into an Engagement on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Our services are intended for business use by individuals aged 18 or over. By engaging with Stonecourt, you confirm you meet this requirement.
3. Description of Services
Stonecourt provides structured business consulting engagements, currently comprising:
- Business Model Canvas Sessions — half-day facilitated working sessions
- Department Charter Workshops — focused engagements to develop departmental charter documents
- Knowledge Management Setups — multi-week engagements to establish knowledge management practices
Services are delivered primarily in Bangkok, Thailand. Remote participation may be possible for parts of certain engagements, subject to agreement at scoping. Stonecourt reserves the right to decline or discontinue engagements at its discretion.
4. Engagement Scope and Delivery
Each Engagement is governed by a written scope agreement confirmed before work begins. The scope sets out the specific activities to be undertaken, Deliverables to be produced, timeline, and fixed price. No work outside the agreed scope will be undertaken without a new or amended written agreement.
Stonecourt will make reasonable efforts to complete Engagements within the timelines indicated. Where completion is delayed due to factors outside Stonecourt's control — including Client unavailability or failure to provide necessary input — timelines may be adjusted by mutual agreement.
Deliverables are subject to review cycles as described in the scope agreement. Stonecourt will produce revised drafts based on Client feedback received within the agreed timeframe. Feedback received after this period may be incorporated at Stonecourt's discretion or addressed under a new engagement.
5. Payment Terms
All prices are quoted in Thai Baht (฿) and are fixed for the agreed scope. Current engagement prices are ฿5,300 (Canvas Session), ฿18,200 (Department Charter Workshop), and ฿30,400 (Knowledge Management Setup). Prices are subject to change for future engagements but will not change once a scope agreement is confirmed.
Payment terms are agreed at scoping and typically require partial or full payment before sessions begin. Accepted payment methods are specified in the scope agreement. Invoices are issued in accordance with Thai tax requirements.
Refund policy: Where an Engagement is cancelled by the Client before any sessions have taken place, a full refund will be provided less any non-recoverable costs incurred. Where sessions have begun, fees for completed work are non-refundable. Where Stonecourt cancels an Engagement due to unforeseen circumstances, a full refund will be provided for work not yet undertaken.
6. Intellectual Property and Ownership of Deliverables
All Deliverables produced during an Engagement — including documents, summaries, templates, and systems — become the full property of the Client upon payment in full. Stonecourt retains no intellectual property rights over Deliverables and does not restrict the Client's use, adaptation, or distribution of them.
Stonecourt's proprietary methodologies, facilitation frameworks, and engagement structures remain the intellectual property of Stonecourt. Clients may not reproduce or commercialise these frameworks without written permission.
The content of this Website, including text, design, and structure, is the property of Stonecourt. You may not reproduce or distribute Website content without permission.
7. Confidentiality
Stonecourt treats all information shared by Clients in the course of an Engagement as confidential. We will not disclose Client information to third parties without written consent, except where required by law. This obligation survives the conclusion of the Engagement.
Clients are asked to treat any methodologies, unpublished frameworks, or proprietary processes shared by Stonecourt during an Engagement with equivalent discretion.
8. Client Responsibilities
To enable effective delivery of an Engagement, Clients agree to:
- Participate in scheduled sessions with the appropriate attendees
- Provide relevant background information and context in a timely manner
- Provide feedback on draft documents within agreed timeframes
- Not misrepresent the nature or purpose of the Engagement to Stonecourt
Clients may not use our Website for unlawful purposes, to distribute harmful content, or to attempt to access systems without authorisation.
9. Disclaimers
Consulting engagements and the information on our Website are provided in good faith based on our experience and judgement. We do not make representations about specific organisational, financial, or operational outcomes.
Our services do not constitute legal, financial, medical, or other regulated professional advice. Clients should seek appropriate professional advice for decisions in those domains.
The Website is provided on an "as available" basis. We do not warrant that it will be uninterrupted or error-free.
10. Limitation of Liability
To the fullest extent permitted by Thai law, Stonecourt's total liability to a Client in connection with any Engagement shall not exceed the fees paid for that Engagement. We shall not be liable for indirect, consequential, or incidental damages, including loss of profits or business opportunity, arising from or in connection with an Engagement or use of the Website.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
11. Indemnification
You agree to indemnify and hold Stonecourt harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of our Website or services.
12. Termination
Either party may terminate an Engagement by written notice. Consequences of termination, including refund entitlements and payment obligations for work completed, are governed by the payment terms in Section 5. Stonecourt may also suspend or discontinue Website access for users who breach these Terms.
Sections 6, 7, 9, 10, 11, and 13 survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.
14. General Provisions
- Entire Agreement: These Terms, together with any written scope agreement, constitute the entire agreement between the parties for the relevant Engagement.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce a right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign rights or obligations under these Terms without our prior written consent.
- Notices: Notices should be sent to [email protected] or to the postal address below.
15. Changes to These Terms
We may update these Terms periodically. Where changes are material, we will post a notice on the Website. The date of the most recent revision appears at the top of this page. Continued use of our Website or services after changes are posted constitutes acceptance of the updated Terms.
